1. Who We Are

These Terms & Conditions ("Terms") govern your access to and use of PlanLine, a software service for project planning, task management, team collaboration, scheduling, and related productivity features (the "Service").

PlanLine is operated by Kubix Ltd ("we", "us", "our"), a company registered in Bulgaria as Kubix EOOD.

Kubix Ltd (Kubix EOOD)

VAT Number: BG208525062

Registered Address: Bulgaria, Sofia 1421, str. Zornitsa 2

General legal matters: info@planline.io

Billing & subscriptions: billing@planline.io

If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility and Business / Consumer Use

You may use the Service only if you can legally enter into a binding contract.

You may use the Service as:

  • •a business user acting on behalf of a company or organisation, or
  • •an individual consumer.

If you create or use an account on behalf of an organisation, you represent and warrant that you are authorised to accept these Terms on that organisation's behalf.

3. Our Service

PlanLine is provided as a cloud-based software service. Features may vary by subscription tier, account role, workspace settings, beta/testing status, or product development stage.

We may improve, modify, replace, suspend, or discontinue features where reasonably necessary for:

  • •security,
  • •legal compliance,
  • •technical maintenance,
  • •product improvement,
  • •fraud prevention,
  • •third-party dependency changes, or
  • •changes to subscription packaging.

Where a change materially reduces a paid core feature already purchased, we will act in accordance with applicable law and, where required, provide appropriate notice or remedies.

4. Account Registration and Account Security

To use certain features, you must create an account.

You agree to:

  • •provide accurate, current, and complete information,
  • •keep your login credentials confidential,
  • •promptly update your account information if it changes,
  • •notify us without undue delay if you suspect unauthorised access to your account.

You are responsible for activity carried out through your account unless caused by our breach or by a security issue outside your control.

5. Subscription Plans, Billing and Auto-Renewal

5.1 Free and Paid Plans

PlanLine may offer free and paid plans. Paid plans may include recurring monthly or other periodic billing.

5.2 Prices and Taxes

Prices displayed in the Service or at checkout are the prices applicable at the time of purchase unless obvious error applies. Taxes, including VAT where applicable, will be handled as shown at checkout or invoice.

5.3 Recurring Billing

If you purchase a paid subscription, you authorise us and our payment processor to charge the applicable recurring subscription fees and any applicable taxes using your selected payment method until the subscription is cancelled.

5.4 Auto-Renewal

Paid subscriptions renew automatically at the end of each billing period unless cancelled before renewal.

5.5 Plan Changes

If you upgrade, downgrade, add seats, remove seats, or otherwise change a subscription, billing treatment (including timing, replacement, proration, or next-cycle effect) will follow the rules shown in the Service and/or by our payment processor at the time of change.

5.6 Failed Payments

If payment fails, we may retry charging the payment method, suspend paid features, limit access, or downgrade the account, subject to applicable law and reasonable internal billing rules.

6. Cancellation

6.1 By You

You may cancel your subscription through your account billing settings or through the subscription-management method made available by us or our payment provider.

Unless expressly stated otherwise during checkout or plan management:

  • •cancellation takes effect at the end of the current paid billing period, and
  • •you retain access to the paid features until the end of that billing period.

6.2 By Us

We may suspend or terminate paid access where reasonably necessary for:

  • •non-payment,
  • •fraud,
  • •abuse,
  • •serious breach of these Terms,
  • •legal or regulatory obligations,
  • •security risks.

Where appropriate and lawful, we will provide notice and an opportunity to cure before termination.

7. Consumer Withdrawal Right

If you are an EU consumer, you may have a legal right to withdraw from a distance contract within 14 days from the date of conclusion of the contract.

However, where the Service is digital content or a digital service supplied immediately after purchase, you expressly request immediate performance and acknowledge that you lose your withdrawal right once performance has begun, to the extent permitted by applicable law.

If immediate-performance consent and acknowledgement are required in the checkout flow, they must be captured there. If not properly captured, mandatory consumer withdrawal rights remain unaffected.

Nothing in these Terms limits mandatory consumer rights under applicable law.

8. Refunds

Except where required by applicable law, fees paid for subscriptions are non-refundable.

We do not promise prorated refunds for partial billing periods unless:

  • •required by law,
  • •expressly stated in the Service, or
  • •expressly approved by us in writing.

This clause does not limit any statutory consumer remedies or any refund rights required by payment-provider rules or mandatory law.

9. Trial, Beta and Promotional Access

We may offer trials, beta access, early access, promotional pricing, or invitation-only features.

Such access may be subject to additional conditions and may be changed, limited, or withdrawn at any time where reasonably necessary.

If a beta or promotional feature is made available without charge, we may discontinue it without compensation, subject to mandatory law.

10. User Content and Customer Data

10.1 Your Data

You retain your rights in the data, files, tasks, project information, comments, schedules, and other content you submit or upload to the Service ("Customer Data").

10.2 Limited Licence to Us

You grant us the limited rights necessary to host, process, transmit, back up, display, and otherwise use Customer Data solely for:

  • •providing the Service,
  • •maintaining and securing the Service,
  • •preventing abuse,
  • •complying with law,
  • •enforcing these Terms.

10.3 No Sale of Customer Data

We do not sell Customer Data as part of our core business model.

10.4 Responsibility for Customer Data

You are responsible for ensuring that you have the rights and lawful basis to upload or use Customer Data in the Service.

11. Privacy and Data Protection

Our processing of personal data is governed by our Privacy Policy.

If we offer a Data Processing Agreement for business customers, it will be made available separately.

If these Terms conflict with mandatory data protection law, mandatory law prevails.

12. Acceptable Use

You must not use the Service to:

  • •violate applicable law,
  • •infringe intellectual property or privacy rights,
  • •upload or transmit unlawful, harmful, abusive, harassing, defamatory, fraudulent, or deceptive material,
  • •distribute malware or malicious code,
  • •interfere with, disrupt, damage, reverse engineer, scrape without permission, or test vulnerabilities of the Service except as permitted by law,
  • •misuse the Service in a way that threatens security, performance, or availability,
  • •attempt unauthorised access to accounts, data, systems, or networks.

We may investigate suspected violations and suspend or terminate access where justified.

13. Intellectual Property

The Service, including software, source code (except where separately licensed), interface design, visual identity, trademarks, logos, documentation, and related materials, is owned by or licensed to Kubix Ltd (Kubix EOOD) and is protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose.

You may not:

  • •copy, reproduce, resell, sublicense, or distribute the Service except as expressly permitted,
  • •remove proprietary notices,
  • •use our branding without permission.

14. Availability, Maintenance and Changes

We do not guarantee uninterrupted or error-free operation.

We may perform maintenance, updates, security work, migrations, and infrastructure changes that may affect availability from time to time.

Where reasonably possible, we will try to minimise disruption.

15. Conformity of Digital Services and Statutory Remedies

If you are a consumer, you may have statutory rights regarding conformity of digital content and digital services and remedies where the Service does not conform to the contract.

Nothing in these Terms excludes or limits any mandatory statutory rights available under applicable consumer law.

16. Third-Party Services

The Service may integrate with or depend on third-party services, such as payment processors, calendar providers, cloud infrastructure, email providers, analytics providers, or identity providers.

We are not responsible for third-party services we do not control, but we remain responsible for our own obligations under applicable law.

Your use of third-party services may also be subject to their own terms and privacy policies.

17. Suspension and Termination

We may suspend or terminate your access immediately where necessary for serious reasons including:

  • •fraud,
  • •non-payment,
  • •serious breach,
  • •unlawful activity,
  • •material security risk,
  • •legal obligation.

Where appropriate and lawful, we may instead suspend access temporarily and allow you to remedy the issue.

Upon termination, we may delete or restrict access to the account and Customer Data in accordance with our retention and legal obligations.

18. Limitation of Liability

Nothing in these Terms excludes or limits liability for:

  • •death or personal injury caused by negligence,
  • •fraud or fraudulent misrepresentation,
  • •wilful misconduct,
  • •or any liability that cannot be excluded or limited under applicable law.

Subject to the above, and to the maximum extent permitted by law:

  • •the Service is provided on an "as is" and "as available" basis,
  • •we do not give guarantees beyond those required by law,
  • •we are not liable for indirect, incidental, special, consequential, or punitive loss, including loss of profit, revenue, goodwill, or anticipated savings,
  • •for paid subscriptions, our total aggregate liability arising out of or relating to the Service shall not exceed the total fees paid by you for the Service during the 12 months preceding the event giving rise to the claim,
  • •for free users, liability is limited to the maximum extent permitted by law.

This clause must be interpreted subject to mandatory consumer law and any non-excludable legal guarantees.

19. Indemnity for Business Users

If you use the Service on behalf of a business or organisation, you agree to indemnify and hold harmless Kubix Ltd (Kubix EOOD) against third-party claims arising from:

  • •your unlawful use of the Service,
  • •your breach of these Terms,
  • •your Customer Data infringing third-party rights,

except to the extent caused by our own breach, negligence, or wilful misconduct.

This clause does not apply to consumers to the extent prohibited by law.

20. Governing Law and Disputes

These Terms are governed by the laws of Bulgaria.

If you are a consumer resident in another EU/EEA country, you also retain the benefit of any mandatory provisions of the law of your country of residence that cannot be derogated from by agreement.

If you are a business user, the competent courts of Bulgaria shall have exclusive jurisdiction unless mandatory law requires otherwise.

If you are a consumer, you may bring claims in the courts available to you under applicable law.

21. Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we will provide notice by appropriate means, such as through the Service, email, or account notice.

The updated Terms will apply from the date stated above, unless mandatory law requires otherwise.
